Terms of Service

1. Service Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and BB Designs, LLC ("Agency") regarding the provision of digital marketing services ("Services"). The specific scope, timelines, and deliverables of the Services will be outlined in a separate Statement of Work (SOW).

2. Payment Terms

The Client agrees to compensate the Agency as detailed in the SOW. Agency fees are typically billed monthly in advance. All third-party costs, including but not limited to advertising media spend, are the direct responsibility of the Client. Late payments may result in a suspension of services.

3. Client Responsibilities

The Client is responsible for providing timely access to necessary data, accounts, and approvals required for the Agency to perform the Services. The Client warrants that all materials provided to the Agency are legally cleared for use.

4. Confidentiality

Both parties agree to treat all non-public information received from the other party as confidential and will not disclose it to any third party without written consent, except as required by law.

5. Legal Disclaimers & Limitation of Liability

The Agency will perform its Services using professional skill and care. However, we do not guarantee specific results or outcomes, as digital marketing performance is subject to many external factors. The Agency's total liability under this agreement shall be limited to the fees paid by the Client to the Agency in the three (3) months preceding any claim.

6. Termination

The term of the agreement is defined in the SOW. Either party may terminate the agreement with 30 days' written notice to the other. Upon termination, the Client is obligated to pay for all Services rendered up to the termination date.
